With the resignation of Director Bitter on November 19, 2023, a vacancy was created within our 7 member Board of Directors. The tendered resignation was submitted within the fifth month of a thirty-six month term. As such, the Board concurred that due to the unprecedented amount of term length remaining, the Association should seek legal interpretation of our By-Laws prior to accepting applications. Our counsel has advised that the proper incumbency for the relinquished Director’s position is the full remainder of the term which concludes on June 27, 2026.
According to the By-Laws, Article VIII, Section 4, “Vacancies on the Board of Directors may be filled by a majority of the remaining Directors, though less than a quorum, and each Director so elected shall hold office until his successor is elected at an Annual Meeting of members, or at a special meeting called for that purpose.” In keeping with the parameters outlined within our By-Laws, our Board of Directors extends an invitation to apply for this open position to all interested members. At the conclusion of the application period on December 31, 2023, candidates will be chosen to interview with our Directors. Thereafter, the Board will deliberate and appoint the successor.
Throughout this period, we will remain steadfast in providing and conveying to our membership the processes, decisions and actions taken by your Board of Directors.
